Terms and Conditions

Welcome to the Extreme Roofing Solutions, LLC roofing quote web application at https://quotes.ersroof.com (the “Service”). By using the Service, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use the Service.

1. Use of the Service
You may use the Service to generate roofing quotes for materials and fabrication (provided by ERS Metals) and labor for roof installation (provided by ERS Installations), and to access future features (e.g., user reviews, referral programs, third-party integrations) as they become available. You agree to:

  • Provide accurate and complete information when requesting quotes or using features.

  • Use the Service in compliance with all applicable laws, including Florida Statutes Chapter 713 for construction-related obligations.

  • Not misuse the Service (e.g., by hacking, scraping, or sending spam).

  • Comply with additional terms for future features (e.g., content guidelines for reviews, eligibility for referral programs), as disclosed at implementation.

2. Quotes Are Non-Binding Estimates
Quotes generated by the Service are non-binding estimates for approximate pricing of roofing materials and fabrication (provided by ERS Metals) and labor for roof installation (provided by ERS Installations), invoiced separately, based on the information you provide, requiring final cut lists for accuracy. By accepting a quote in the App, you agree to proceed with production for materials (ERS Metals) upon receipt of the deposit or to the labor payment terms for roof installation (ERS Installations), subject to the offline service contract. If no cut list is provided, aerial measurements may be used, and Extreme Roofing Solutions, LLC assumes no responsibility for their accuracy. Orders are placed only after the estimate is signed, returned, and the deposit is received. Quote cancellations or modifications before signing the order must be handled by contacting us at info@ersroof.com or 904-206-8316. We are not liable for inaccuracies in quotes due to incomplete or incorrect user input, market fluctuations, aerial measurement errors, or site conditions.

3. Installation and Order Terms
Installation services and material orders quoted through the Service are subject to the following terms, detailed in the offline service contract:

  • Separate Invoicing: Materials and fabrication (ERS Metals) and labor (ERS Installations) are invoiced separately.

  • Fabrication Process: Accessories are fabricated at our shop. Standing seam panels are roll-formed and cut on-site per the provided cut list. Rib panels are manufactured in our shop and shipped to the site.

  • Material Payment Terms: For materials, payments are a 50% deposit before production, with the remaining 50% due before delivery. If the balance is not paid within 5 days of completion, a 3% compounding monthly fee will be added to the total price until paid.

  • Labor Payment Terms: For labor, payment is due within 7 days of receiving the invoice from ERS Installations. Delinquent amounts over 30 days incur 1.5% monthly interest (18% annual rate). A deposit may be required, with 50% refundable within 15 days of cancellation; after 15 days, the deposit is non-refundable.

  • Change Orders: Any alteration or deviation from the signed/approved services or products during production requires a change order, subject to a $500 Reproduction Fee plus additional material costs. Fees cover indirect costs, including administration, supervision, disruptions, and other impacts.

  • Price Validity: Quote prices are valid for 7 days and subject to change without notice. Final pricing must be validated at the time of purchase.

4. Labor Scope and Responsibilities
For labor provided by ERS Installations:

  • Scope of Work: ERS Installations provides all labor necessary for roof installation, supervised and managed by the contractor, who holds the necessary license under Florida Statute §489.105 and is responsible for obtaining all required permits. ERS Installations takes direction only from the contractor, not from the project owner or other parties. All individuals working on the project have required insurance, including workers’ compensation, and are authorized to work in Florida.

  • Indemnification: The contractor agrees to fully, continuously, and unconditionally indemnify and hold ERS Installations harmless against all costs, expenses, claims, demands, suits, judgments, awards, fines, penalties, or other monetary expenditures arising from labor performance, except for willful misconduct, gross negligence, or breaches of law by ERS Installations without the contractor’s knowledge. The contractor will defend ERS Installations at its own expense in any related legal or administrative proceedings, without affecting the contractor’s right to settle or resolve claims.

  • Dispute Resolution: Any disputes arising from labor services will be resolved through binding arbitration in St. Johns County, Florida, under the rules of the American Arbitration Association. Florida law governs, and both parties waive the right to a jury trial. The prevailing party is entitled to reasonable attorney’s fees and costs.

  • Time for Performance: No guaranteed completion date unless specified in the offline contract. ERS Installations is not liable for delays due to force majeure events (e.g., strikes, floods, pandemics, governmental actions). If delays exceed 30 days, either party may terminate with written notice.

  • Binding Effect: These terms bind the parties, their successors, legal representatives, and assigns, except as otherwise provided.

  • Integration: These terms, with the offline contract, constitute the entire agreement, superseding prior agreements. Amendments must be in writing and signed by both parties.

  • No Third-Party Beneficiaries: There are no third-party beneficiaries to these terms.

  • Execution and Delivery: Agreements may be executed in counterparts, with electronic signatures (e.g., PDF via email) treated as originals.

  • Waiver: Failure to enforce any term does not waive it. Waivers must be explicit and do not affect subsequent breaches.

  • Invalidity: If any provision is invalid, the remaining provisions remain enforceable.

  • Assignment: Rights and obligations cannot be assigned without prior written consent of the other party.

  • Headers and Interpretation: Headings are for reference and do not affect interpretation. Terms are not construed against either party.

5. Additional Contract Terms
The following terms apply to all services, detailed in the offline service contract:

  • Lien Rights: ERS Metals and ERS Installations reserve the right to file a Claim of Lien under Florida Statutes Chapter 713 for non-payment of materials or labor.

  • Warranty Disclaimer: Labor and material warranties are detailed in the offline contract. No implied warranties apply beyond those specified.

  • Termination Conditions: Either party may terminate for material breach with 30 days’ written notice, subject to settlement of outstanding payments.

  • Additional Offline Contracts: Additional terms from other offline contracts will be incorporated upon submission and review, as agreed in the offline service contract.

6. Material and Installation Disclaimers
The following disclaimers apply to roofing materials produced by Compass Metals and installations provided by ERS Installations:

  • Oil Canning: Oil canning (visible waviness in panels) is a natural condition for sheet metal products and is not a defect or cause for rejection.

  • Uneven Weathering: Uneven weathering, burnishing, smudging, or discoloration of unpainted mill-finish panels is not a cause for rejection. For consistent aesthetics and high-visibility projects, select painted panels.

  • Salt Water Proximity: No warranty applies to steel panels installed within 1500 feet of salt/brackish water or breaking surf.

  • Differential Darkening: Bare or mill-finish Galvalume-coated steel roofs may exhibit inconsistent color (differential darkening). To minimize variation, materials are sourced from one supplier and master coil where possible, but variation is not fully eliminable. For consistent appearance, select painted panels or Pre-weathered Galvalume painted finish. Mill-finish Galvalume is not recommended for high-slope or high-visibility applications.

  • Storage and Maintenance: Panels cannot be stored wet, as moisture between sheets may cause damage. Metal shavings must be swept off roofs to prevent rust stains.

  • Returns: Returns are subject to management approval and may incur a 20% restocking fee.

  • Customer Pickup: Orders for customer pickup must be collected within 30 calendar days from the ship date. Uncollected materials become the property of ERS Metals and are not eligible for refund.

7. Discrepancy Reporting
Any discrepancies with quotes or materials must be reported within 48 hours of delivery or pickup. To report discrepancies, contact us at info@ersroof.com or 904-206-8316. Failure to report within 48 hours may waive your right to dispute the quote or materials.

8. Intellectual Property
The Service, including its design, content, branding, and algorithms, is owned by Extreme Roofing Solutions, LLC and protected by copyright and other applicable laws. You may not copy, modify, distribute, or use any part of the Service, including the Extreme Roofing Solutions, LLC, ERS Metals, or ERS Installations names or logos, without our written permission. User-generated content (e.g., reviews) submitted through future features remains your property, but you grant us a non-exclusive, royalty-free license to use, display, and modify it for Service purposes.

9. Limitation of Liability
To the fullest extent permitted by law, Extreme Roofing Solutions, LLC, including its DBAs ERS Metals and ERS Installations, is not liable for any damages arising from your use of the Service, including inaccurate quotes, material defects, installation issues, consulting services, data breaches, or issues related to future features (e.g., user reviews, referral programs). Materials are produced by Compass Metals, and Extreme Roofing Solutions, LLC is not responsible for defects or issues inherent to those materials. You use the Service at your own risk.

10. Accessibility
We strive to make the Service accessible to all users, including those with disabilities, in accordance with the Americans with Disabilities Act (ADA). If you encounter accessibility issues, please contact us at info@ersroof.com.

11. Termination
We may suspend or terminate your access to the Service at any time for violating these Terms, including misuse of future features, or for any other reason, with or without notice.

12. Dispute Resolution
Any disputes arising from these Terms or your use of the Service, excluding labor-specific disputes covered in Section 4, will be resolved through binding arbitration in St. Johns County, Florida, under the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

13. Governing Law
These Terms are governed by the laws of Florida, without regard to conflict of law principles.

14. Changes to These Terms
We may update these Terms at any time to reflect new features or legal requirements. We will notify you of significant changes via email or a notice on the Service. Continued use of the Service constitutes acceptance of the updated Terms.
